These Terms of Service (“Terms”) govern your use of TaxPilot, operated by Small Pond Productions (“we,” “us,” or “our”). By creating an account or using our web application, Chrome extension, or related services (collectively, the “Service”), you agree to these Terms.
1. Account Terms
- You must be at least 18 years old to use the Service.
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials. Do not share your password with others.
- You are responsible for all activity that occurs under your account.
- One person or entity may not maintain more than one free account.
2. Subscription and Billing
Free Plan
The free plan includes limited features (20 expenses per month, basic categories, tax calculator access). No credit card is required.
Paid Plans
Paid plans (Starter, Pro, Premium) are billed monthly. Prices are listed on our pricing page and may change with 30 days' notice.
Free Trial
Paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your payment method will be charged for the first billing period.
Cancellation and Refunds
- You may cancel your subscription at any time from your billing settings or by contacting us.
- Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then.
- We do not provide prorated refunds for partial billing periods.
- If you cancel during a free trial, you will not be charged.
Payment Processing
All payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
3. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or to violate any laws.
- Upload false, misleading, or fraudulent expense data.
- Attempt to access other users' accounts or data.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated tools to scrape, crawl, or otherwise extract data from the Service (other than the Chrome extension provided by us).
- Interfere with the Service's infrastructure or impose an unreasonable load on our systems.
- Resell, redistribute, or sublicense the Service without our written consent.
4. AI Accuracy Disclaimer
Important:
TaxPilot uses artificial intelligence to categorize expenses and suggest potential tax deductions. AI-generated categorizations and suggestions are informational only and should not be considered tax advice.
- AI categorizations may contain errors. You are responsible for reviewing and confirming all categorizations.
- TaxPilot is not a tax preparation service, CPA firm, or law firm.
- We do not file taxes on your behalf or provide personalized tax advice.
- Tax laws vary by jurisdiction and change frequently. Always consult a qualified tax professional for advice specific to your situation.
- We are not responsible for any tax penalties, interest, or additional taxes resulting from reliance on AI-generated categorizations.
5. Data Ownership
- Your data is yours. You retain full ownership of all expense data, financial information, and other content you upload to TaxPilot.
- You grant us a limited license to process your data solely for the purpose of providing the Service (categorization, calculations, reports).
- We may use aggregated, de-identified data to improve our AI models and Service. This data cannot be traced back to you.
- You can export your data at any time in CSV format and request complete deletion of your account and data.
6. Intellectual Property
The Service, including its design, code, AI models, brand, and content (excluding user-submitted data), is owned by Small Pond Productions and protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works from the Service without our written permission.
7. Third-Party Integrations
The Service integrates with third-party services including Stripe (payments), QuickBooks, and Plaid (bank connections, coming soon). Your use of these integrations is subject to each provider's own terms of service. We are not responsible for the actions, data practices, or service availability of third-party providers.
8. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or secure.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
- Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
- We are not liable for any tax penalties, interest, audits, or additional tax assessments that result from your use of the Service or reliance on AI-generated suggestions.
9. Indemnification
You agree to indemnify and hold harmless Small Pond Productions, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third party's rights.
10. Termination
- You may close your account at any time by contacting us or using the account deletion option in settings.
- We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with 30 days' notice.
- We may terminate accounts immediately (without notice) for serious violations such as illegal use, fraud, or abuse.
- Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.
11. Dispute Resolution
Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
13. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
